• Drafting, reviewing & negotiating Legal & Transactional Documentations;• The documents pertaining to establishing or dissolving a business, merging two businesses, creating sales contracts, establishing non-compete clauses or changing business's organizational structure;• Analyze and identify legal risks and implications on the Company;• To collaborate with other lawyers, clients or government agencies to execute paperwork or complete transactions; • Negotiations on behalf of companies clients with external parties;• Examining National, International and Local laws to identify any rules company must follow or conflicts that might arise;• Negotiating employee contracts, interpreting and advising on employment law;• Assisting and reviewing new business relationships with vendors and subcontractors;• Assisting and guiding local and foreign companies within the group on regulatory and compliance matters relating to their respective jurisdiction; • Representing the company before any administrative boards, forums and court trials;• Assistance and supervision to outside lawyers hired to assist the company with their specialized legal services;• Analyze and identify legal risks and implications for the company;• Keep the management abreast of all new laws and regulations that may have implications to the Company;• Advise management on legality of insurance transactions and recommend changes in the Insurance policies to conform with law or to protect company from unwarranted claims and drawing up and finalizing insurance contracts and release papers;• Advise management on intellectual property issues, and coordinate any intellectual Property issues that may arise with external intellectual property counsel including registration, objections, oppositions & renewals;• Maintain corporate governance procedures;• Assistance towards set up of additional domestic subsidiaries/companies as required by the company’s dom
