2018年10月，在完成对达瑞项目51%的股权投资工作以后，作为中色股份的外派高管-副总经理，到项目公司中色（印尼）达瑞矿业有限公司，进行投后管理以及推荐达瑞项目基建期工程建设工作。Since October 2018，after completion of the transaction of 51% shares of investment in PT Dairi Prima Mineral(DPM), as senior management personnel—Vice President dispatched by NFC, I joined and worked for DPM to undertake post-investment management and push forward the construction of Dairi lean and zinc project.

主要工作：开发一个印尼大型铅锌矿项目，涉及股权投资及工程承包工作。作为项目层面的主要负责人与协调人，重点开展了下列工作：1、组织、协调开展项目股权投资的内部及外部尽职调查及相关评估审计工作，包括技术尽调、财税尽调、项目估值、法律尽调、税务架构及筹划、财务审计、资产评估、国家风险评估、资源储量核实及验证、交通运输情况调研、项目可研报告更新等；与公司外方业主、内部各部门及外部的财务顾问、律所、设计院、地勘单位进行沟通交流、处理出现的问题，推进各尽调工作按照既定的时间计划有序开展；2、负责组织编写尽调报告、投资报告、投资情况进展等各种汇报材料，并向公司及集团领导进行汇报及有关的情况解释说明；3、与项目业主就商务合作条件、股权购买条件、价格等进行日常的沟通交流，参与并配合公司领导完成最终的合同谈判及股权购买协议文本的确定与签署；4、与财务部门一起参与同各银行、基金进行沟通交流，推进股权购买资金及项目建设资金的融资工作;5、参与配合工程业务部门开发项目的EPC工程承包工作。Main work scope: Develop a large scale Lean and Zinc project in Indonesia, including equity investment and EPC contracting. As key project principal and coordinator mainly undertake the following work.1. Organize and coordinate the Due Diligence and related assessment works for equity investment, including technical DD, financial & tax DD, project valuation, tax structure study, audit, assets appraisal, resouces and reserves verification, country risk assessment, transportation study for materials and concentrates, update for Feasibility Study; communicate with each party and sovle the outstanding issues emerged to make sure the progress of DD to proceed in time line.2. Responsible for drafting and combining the DD report, investment report and othter related documents, and make report to management level.3. Make general communication and negotiation with owner regarding cooperation, pricing and other business conditions for transaction, assist management level in making final negotiation and decision.4. Participate in financing for equity investment and CAPEX of construction5. Participate in EPC contracting development work

主要工作职责:- 收集国内外矿产资源项目信息，掌握国外矿产资源开发动态- 收集国内外矿产行业政策、法规信息- 参与制定公司资源开发规划及投资标准，并以此为基础在国内外收集并筛选项目信息，对项目 信息进行核查和分析，确定拟跟踪项目，编写项目情况介绍、投资建议等文件- 对拟跟踪的项目进行详细的技术资料研究，现场考察，组织尽职调查，其中主要负责技术尽职调查与项目技术经济综合评价，并协调财务，税务，法律尽职调查，在尽职调查的基础上对项目进行估值以及投资风险分析等工作，汇总编写尽职调查报告、投资分析报告投标报价书等文件- 项目谈判技术准备，参与合同技术部分的起草以及合同商谈- 参与主要技术咨询机构的选择、服务合同的起草、商谈、评审- 参与设计项目融资方案，配合有关部门落实融资项目融资方案- 与项目业主、设计院、技术及财务顾问、商业银行、投资银行、信用保险公司等机构进行日常的沟通交流，包括电话、邮件及参加各种会议工作业绩及收获:- 研究亚太地区、加拿大、中亚、非洲等地区的矿业投资项目超过400个，其中对约100个项目完成了深入地数据库资料研究，赴澳大利亚、南非、印尼、哈萨克斯坦等13个国家进行过项目考察和技术调研，涉及金、银、铜、铅、锌、铝、稀土等15种以上的有色金属品种，编写详细的尽职调查报告及投资分析报告数十篇- 参与了公司投资一家澳洲上市公司的全过程，包括尽调、股权交割以及后续的技术交流及企业调研，通过这次经历对海外矿业投资并购以及投后管理有了较深的认识和了解- 先后参与英国英美资源集团及南非爱索公司两次铅锌资产剥离出售的国际竞标工作，虽然最终未能竞争过瑞士嘉能可以及印度韦丹塔这样的国际矿业巨头，但通过与国际知名矿业公司的沟通和竞争，获得了宝贵的经验- 成功开发印尼一个高品位铅锌矿项目，帮助公司签订了EPC工程承包合同以及锁定了股权购买以及产品包销的权利，该项目也开创了公司EPC加小额股权及产品包销相结合的投资方式在•WORKING EXPERIENCE - April 2010 – Present Resource development and Investment Supervisor, China Nonferrous Metal Industry’s Engineering and Construction Co., Ltd Conducted and organized technical assessment and valuation for target projects. Organized Due diligence for mergers and acquisitions, including technical, financial, legal, tax aspects, coordinated the work between different parts Communicated with owner, banker, design institute, consultant regarding technical and commercial issues Participated in technical discussion and commercial negotiation with design institute or owner.  Completed more than 20 Due diligence reports and investment analyzing reports, made more than 10 financial models for project valuation Drafted the investment criteria and strategic planning of resource development for company Take charge of the development of one Indonesia Lead and zinc project, assisting company to sign cooperation agreement, EPC contract, off-take agreement with owner.
