DJI is the global leader in developing and manufacturing high performance, reliable, and easy-to- use small unmanned aircraft systems (known as "sUAS", but sometimes referred to as "drones"), for commercial and recreational use. A company of over 500 employees, among the largest in the sUAS market, DJI is dedicated to making aerial photography readily accessible for commerical applications such as videography, movie and television filming, oil and gas facilities inspection and maintenance, cell tower and wind turbine inspection and monitoring, right of way maintenance, farming, and law enforcement and search and rescue. Its global operations span North America, Europe, Asia and South America.By their nature, these flying products involve many complex legal issues, including the current FAA authority over the US National Airspace, along with law enforcement, constitutional and privacy concerns. As national airspace matters are resolved through FAA regulation the industry is estimated to swell to over $98 billion in cumulative global expenditures during the following decade.

EFG provides repair and maintenance, debt and appearance protection consumer products in the retail automotive industry. When I came on board the company had just acquired the exclusive US rights to market a unique program that allowed a new car purchaser to return the vehicle and walk away from the debt if they lost their job. I became president of this division. During a period of economic turmoil in this nation this became an important resource for consumers in connection with their car loans.

Securus Technologies, a successor in merger with T-NETIX, is a public company provider of specialized call processing hardware and software providing phone systems in correctional facilities nationwide used by inmates for calling outside. My work in this arena started with relocating T-NETIX (at that time a publicly held specialty telecom company) from Denver to Dallas following a divisive merger with a competitor. In connection with the relocation I worked to: establish the legal, accounting and HR departments; integrate the acquisition of another competitor through private equity financing; guide the company through a post-merger RIF and later a going private tender offer; negotiate and maintain over 2200 telecom contracts with state agencies; establish its first SOX compliance; acquire and maintain key patents allowing industry dominance; and secure major patent infringement litigation settlements.

RCI manufactured and marketed racing equipment such as fuel cells, racing seats, restraint systems and fire suits. During my tenure at King Sports (below), I was recruited to come back to Texas to head up a major growth initiative that RCI wanted to pursue. While at this company I identified an opportunity to consolidate various racing and performance product manufacturers and was given the go-ahead. Within a year we had several major acquisitions in line and committed funding for back-to-back closings.

I was hired in 1992 by my law practice client, world champion NHRA drag racer Kenny Bernstein, to come up to Indianapolis and run the sports marketing arm of his racing empire. At that time we were doing all of the sports marketing for his Indy car, NASCAR and NHRA racing teams. I was responsible for developing and managing on-going public relations, hospitality and show car programs for Budweiser, Quaker State, Goodyear, MacTools, Buick and others - it was grueling but very exciting. With the help of my conscientious and hard working associates, I was able to consistently manage to expectations, resulting in profitable repeat sponsorship year after year.

I started right out of law school with this firm and was blessed with being associated with this group of very good lawyers, soon to become close friends. I rose to partnership level in just four years, was head of our corporate/securities section, and trustee of the firm profit sharing plan. I did extensive legal work for the first apartments to condominiums conversions in Texas under the new law, taught law at a major business college, and won a major domestic relations Supreme Court case, prompting sweeping change in Texas divorce laws. My areas of expertise included transactional, business and real estate, M&A, business formations and governance and private securities offerings.
