Significant experience / expertise in project and structured finance, including P3s and infrastructure, bilateral and syndicated secured and unsecured domestic and international lending, alternative financial products, private equity (including funds and equity investments), mergers/acquisitions, restructuring / workouts, joint ventures and equipment/commercial leasing.Familiar with all aspects of financing deal stream, including negotiating / drafting of Term Sheets, commitment letters, financing and security documents and ancillary loan documentation. Deep understanding and work experience in area of general corporate / commercial law, including acquisitions/mergers/divestitures, work outs/ restructurings, negotiation / drafting of complex commercial agreements and corporate governance.Experienced in deal execution, portfolio management / asset management and fund raising related activities in private equity sphere, including review and negotiation of LPAs, limited partnership interest purchase agreements , contribution agreements and side letters.Holder of both common and civil law degrees, with significant exposure to international/cross border transactions. Fluent in French. Advanced conversational Spanish.Used to working in multi functional teams and providing pro active, pragmatic business oriented legal advice and explanations of complex legal issues.Ability to prioritize/ balance multiple tasks/projects ; high attention to detail, collaborative, well developed communication, negotiation, persuasion and presentation skills.
