Wayne James Rapozo splits his time between serving 1) as a managing director of BridgePost Advisors, a management consulting firm, evaluating strategic options, funding sources, customers and stakeholder relationships for companies, funds, banks, and family offices; and 2) as a partner in the corporate and finance group and head of Finance and Institutional Investing at McCarthy Denning, a next-generation law firm focused on redefining the delivery of legal services with a partner-led practice, scalable teams and bespoke outsourcing arrangements. In additional to advising on the legal and practical aspects on finance, M&A and regulatory matters, Wayne James serves as an independent adviser to boards, CEOs, CFOs and general counsels where a discreet independent view on a matter is necessary or prudent. He works with, and may facilitate introductions to, stakeholders in his and his associates’ network consisting of family offices, investment funds, asset managers, JV partners and customers. He often serves as London liaison for overseas companies and funds in overseeing regulatory and business and finance relationships in the UK and Europe and serves as independent finance board member or client designated board member on company boards.Wayne James has over 25 years of experience in law and finance working with and opposite major financial institutions (including investment banks, asset managers, private equity funds, and VC funds), publicly traded companies and governments worldwide on a broad range of transactions, including acquisitions, debt and equity offerings, strategic investments, loans and leveraged finance (with an emphasis on high yield, mezzanine and complex covenants), and restructuring. He continues with this institutional practice and has developed expertise in representing SMEs in transition, start-up entities and funds and family offices, and independent boards and shareholders in their negotiations with major investors, banks, funds and joint venture partners.He also assists major law firms on a barrister-style basis on key areas of his practice and areas of expertise to configure the right composition of a team covering a client as part of redefining the practice of law whilst maintaining goodwill relationships with traditional law firms. Wayne James is based in London and has worked with the New York, London, Paris, Dubai, Singapore and Hong Kong offices of global law firms and also maintains close relationships with independent law firms and corporate finance advisory firms in those jurisdictions and finance capitals worldwide.
