Manager of Contracts and Purchasing department. Reviewed federal and commercial terms and conditions, drafted exceptions to terms and conditions, and prepared assertions of limited rights data and restricted computer software. Participated in bid review meetings, focusing on exceptions to terms and conditions and contract risk. Reviewed and submitted proposals to NASA, military, and commercial customers. Negotiated terms and conditions, and drafted contracts, with key business terms subject to approval of Division VP. Experienced in working with all forms of government contracts. Experienced in drafting original terms and conditions to suit unique situations. Drafted teaming agreements, and negotiated and drafted associate contractor agreements, and non-disclosure agreements. Managed change order process. Collaborated with corporate legal department to address legal, regulatory, and procedural issues. Researched procurement, export control, organizational conflict of interest, intellectual property, and bid protest laws, regulations, and procedures. Served as Division Export Control Representative, Organizational Conflict of Interest Plan Administrator, and member of the Intellectual Property Committee. Represented employer, in collaboration with corporate counsel, in negotiation of terms of 3-party technology licensing agreement. Managed GSA Professional Engineering Services contract. Primary participant in NASA Constellation Space Suit System (CSSS) prime contract proposal; definitized contract; negotiated and drafted five large-company, and six small-company teammate subcontracts; wrote sections of Management Volume; and represented employer as a member of the negotiating and orals teams. Served as Contract Manager for CSSS following contract award.

Elected to four-year term as at-large Director. Attended bi-annual Board of Directors' meetings, and served on the Policy and Conferences committees. Served as Chair of the Society's 21st annual International Space Development Conference at the Denver Tech Center Marriott, May 23-27, 2002.

One of two private sector advisors on the U.S. Delegation to the United Nations Committee on the Peaceful Uses of Outer Space, Legal Subcommittee. Advised Delegation on commercial space law issues.

Researched and wrote various studies and articles regarding outer space law. Researched NASA grant regulations and advised Director re: same. Supervised student research and space law moot court team. Assisted with publication of various books and compilation of CD-ROMs. Assisted with events, including remote sensing law conference and remote sensing CEO lecture series. Negotiated and wrote agreement transferring Journal of Space Law from private estate to Center.

Associate Campus Counsel, UCLA Capital Programs/Contracts, and Member University of California General Counsel's Office. Interpreted publicly-bid, state-government construction contracts and assisted project managers with claims avoidance; analyzed construction claims and partnered with outside counsel; represented university in arbitration and mediation actions with contractors; drafted architect, construction management, and consultant agreements; drafted licenses, easements, and escrow documents; served as member of Dispute Resolution Committee; prepared and submitted annual claim to Johns Manville Asbestos Trust.

Drafted all documents for 735 leased, subleased & franchised properties. Interpreted lease language, analyzed claims, and coordinated legal issues with Denny's Inc. (parent company) legal department. Negotiated disputes with opposing parties, and partnered with outside counsel to represent the company in litigation.
