As Counselor to the senior executives, provided or ensured that other subject matter experts provided Burnett the full range of legal advice, vendor procurement contracting and negotiation, compliance procedures, employee and contractor form creation and management, regulatory policy oversight, employment law guidance and strategy, EEOC investigation oversight of outside counsel, training and related services.

Provided legal services with emphasis on procurement and technology contracts, intellectual property strategy, e-commerce, entity selection and formation, investor relations, mergers and acquisitions, deal structuring and corporate governance. BMC Software and Burnett Staffing Services were the firm’s largest clients. At BMC, revised all of their form software licenses, reseller and “software as a service” or SaaS transaction services agreements.

Directed all performance and regulatory compliance aspects of the outsourced service environment for the Electronic Funds Transfer (EFT) Services relationship between JP Morgan Chase Bank and the PULSE EFT Association. Processed approximately 816 million switched transactions and generated 15 million dollars in revenue to JP Morgan in 2003. Strategic, vendor and risk management, budget, billing, reporting, problem resolution and escalation of all matters relating to the 24 x 7 operations of the PULSE Switch, the JP Morgan-PULSE business relationship, the frame relay telecommunications conversion, the financial and telecommunications “EFT Switch” conversion effort to PULSE, including negotiating, drafting and closing telecommunication, software, equipment and hardware acquisition and leasing transactions, and all legal and regulatory compliance issues relating thereto. HR management responsibilities included team building, coaching, performance review, salary and bonus planning for six JP Morgan managers and twelve individual contributors. Strategic and financial planning for new PULSE technical projects and products, their staffing, implementation, pricing and impact analysis on regulatory compliance, business continuity and resumption.
