Whit has broad transactional and corporate governance experience and has spent the past 13 years focusing his practice on start-up and growth technology companies, as well as their investors and management, across a range of industries. Whit regularly handles the negotiation and documentation of a wide variety of financing transactions, from early-stage angel and seed financings, to convertible bridge transactions, to venture capital rounds and mezzanine debt and equity investments, to later-stage mergers, acquisitions, asset sales and other exits. In addition, Whit routinely advises on all aspects of the day-to-day legal needs of client businesses, including: pre-incorporation structuring and inter-founder issues, equity compensation, employee and consultant engagements, intellectual property assignment and non-disclosure agreements, commercial transactions, corporate governance, director and officer fiduciary duties, and securities law compliance.Whit’s clients include private companies at all stages of development, venture capital funds, individual investors and both new and seasoned entrepreneurs. Prior to joining VLP, Whit was with the San Francisco and Palo Alto offices of Wilson Sonsini Goodrich & Rosati, one of the nation's premier business law firms for entrepreneurs, emerging growth companies and their investors. Whit received his J.D. from the UCLA School of Law and his B.A. in economics from Middlebury College, where he graduated cum laude. He is a member of the State Bar of CaliforniaWhit is an active installation artist and photographer as well as an avid, and formerly competitive, alpine skier.
