My research and teaching interests involve corporate governance, corporate finance, securities regulation and related areas. I am currently writing papers on the identity crisis in contemporary American corporate governance that pits shareholder primacy against stakeholder-centric models of governance and on investment structures involving equine racing and stallion partnerships.

I advised management and boards of directors for companies at various stages - start-ups to public registrants - on capital markets, securities, governance, M&A, finance and general corporate matters.

I advised on securities, governance, corporate finance, M&A and treasury matters. I provided counsel to the company with respect to all aspects of federal securities laws (including periodic and current reporting, Section 16 matters and proxy statement process and disclosure), Sarbanes-Oxley compliance, NYSE listing standards, insider trading regulations, executive compensation documentation and disclosure, general corporate secretary matters, credit agreements and related documents and transactions, M&A transactions, all aspects of entity formation and maintenance (particularly with respect to DE corporations and limited liability companies), negotiated commercial contracts and other general in-house matters.

I reviewed various transactional filings and periodic reports filed by financial institutions under the Securities Act of 1933 and the Securities Exchange Act of 1934, respectively. I also worked with SEC staff and counsel to bank and financial holding companies, investment banks, asset managers, and other types of financial institutions in staff reviews of initial public offerings, follow-on offerings, M&A filings, shelf registration statements, exchange offers, proxy solicitations, tender offers, confidential treatment requests and periodic reports.

I served as an associate in both the Global Finance and Financial Services and Products practice groups in the Atlanta and Washington, D.C. offices of Alston & Bird. I represented lead arrangers, lenders, borrowers and private equity firms in a variety of financing transactions, including syndicated credit facilities, private placements, high-yield debt offerings, acquisition financings, international finance lease programs, recapitalizations and first- and second-lien loans. I also advised U.S. and foreign banks and nonbank financial services companies on a variety of regulatory matters.
