Adept at negotiating various types of legal agreements and assisting in the areas of corporate mergers and acquisitions. Energetic and dedicated with successful experience optimizing legal support and contract/document administration performance including the following:  Draft/review license agreements including commercial license agreements and research & trialing agreements meeting regulatory restriction requirements. Provide business solutions to key stakeholders while mitigating risk and promoting organization wide growth. Provide legal guidance, under supervision of the applicable Legal Counsel, with respect to a wide variety of substantive legal issues to ensure the compliance with federal, state, local and ethical rules and regulations in the conduct of business activities. Negotiate and draft commercial agreements including leases, production and supply, confidentiality, sales and distribution, service and third party labor agreements.  Work closely with business to understand needs and ensure timely contractual obligations/requests. Maintain, update and file all required state Seed Permits annually. Actively participate and lead paper reduction foot print. Maintain corporate records in compliance with Syngenta’s corporate policies, including Record Retention policy. Assist in Managed Service Provider implementation to reduce costs and increase labor efficiencies.  Draft board resolutions for all subsidiaries as needed.

Assist attorneys primarily in the areas of general corporate and mergers and acquisitions. Primary duties include assisting in the creation and organization of legal entities, foreign qualifications and withdrawals, assisting in general business operations and record maintenance for businesses including corporations, limited liability companies and partnerships. In addition, assisting with stock and asset acquisitions by organizing due diligence, UCC lien searches, assisting attorneys in the preparation of ancillary documents, organizing transactions for closings and post closing duties. Also file and maintain annual renewals for charitble organizations as required by law in 40+ states
