As a healthcare attorney I represented health systems and provider groups in special investigations, medical staff matters, clinical integration and mergers and acquisitions, including representation of a growing investor-owned health system with offices in Louisiana and Charleston, South Carolina. Also, during this time I successfully led an MCG telemedicine spin-out company to accomplish a significant round of private equity financing and experience a substantial national expansion in telestroke programming. As a partner in the Atlanta healthcare group I represented hospitals, physicians, and other providers and healthcare focused entities in Georgia and nationally. Examples of accomplishments during this time include advising a California entity on an appeal from loss of accreditation; leading a team of attorneys advising a non-profit health system selling significant hospital assets including a psychiatric hospital and a home health operation to for profit out of state buyers; serving as a hearing officer for a large regional hospital on a contested medical staff issue; advising another large regional hospital on a multi-phase development of a specialty hospital and oncology clinic as part of a major campus expansion; advising, defending and responding to subpoenas of a federal DOJ lead investigation; advising a client with respect to pay back and self-reporting questions involving CLIA non-compliance; and advising a national health maintenance organization in connection with restructuring a care management plan in Georgia. These are a few illustrative examples of completed projects. At EBG I served as Chair of EBG’s National Committee on Heathcare Real Estate.

As a partner in the Atlanta healthcare group my experience included litigation and national due diligence projects for investment banks, including Goldman Sachs, buying and lending in the healthcare arena. I also represented the City of Atlanta in a significant unpaid taxes case involving the online hotel booking industry. An additional highlight was working with the Georgia’s Safety Net Coalition, a consortium of the largest non-profit hospitals in Georgia to craft a governmental affairs response at the State and Federal level to avoid the threatened loss of ICTF payments which would have cost the Georgia-based providers in excess of $600 million annually in supplemental Medicaid payments.

As General Counsel, Corporate Secretary and the executive in charge of the Risk Management and Compliance programs, I reported to the Chief Executive Officer and served as a board member on its subsidiary captive insurance company, created during my tenure. As the first General Counsel of what was a newly-created, restructured health system I had the opportunity to support the phased development of legal services internally while managing outside counsel to achieve important organizational objectives including successful financial performance. This period was one of substantial professional and personal growth and provided a unique opportunity to be of service to the State and the region by supporting a successful turnaround of the clinical delivery system. Of many lessons learned I think the most important was how to bring a sound management approach to the delivery of legal services.

Rome, Georgia

During this phase of my career I had the opportunity to represent a wide range of clients including health care providers regionally such as the Harbin Clinic, Floyd Medical Center and numerous physicians and provider groups. A significant portion of this work was high-end medical negligence defense including brain injured baby cases and other high exposure litigation. My business clients included the Greater Rome Chamber of Commerce and the Development Authority of Floyd County where in 2000, bond issues and development activity resulted in the recruitment in a single year of more than $500,000,000 of new international and national investment into Floyd County. I also provided corporate counsel to non-healthcare related businesses including most significantly Inland Container Corporation one of the largest pine forest land owners in North America with significant paper and woods products manufacturing.

Rome, Georgia

I was one of four Assistant District Attorneys in the Rome Circuit and was responsible for developing and trying my own cases before Floyd County juries. I started trying felony cases within the first several weeks on duty and tried murder, armed robbery, sexual and physical assault and battery crimes and numerous other felony cases before leaving for private practice in 1983.
