As a technology attorney in the Toronto office of the world’s largest law firm, I helped leading IT companies find solutions to their legal challenges (see representative engagements below). In addition to being a profitable associate, I played an integral role on the business development team and assisted in nurturing client relationships to generate new work.Technology engagements included advising: - Global, enterprise and mid-sized IT companies on technology law issues, including development, licensing/commercialization, outsourcing, e-commerce, security and privacy;- $19B consulting/IT outsourcing firm on RFPS and deal procurement, negotiation and execution (including in-house secondments);- $70B mobile phone maker on IT and privacy/security aspects of global network restructuring;- Middle Eastern monetary agency on IT/outsourcing aspects of $2B+ service bureau privatization; and- Several leading global companies on multi-jurisdictional commercial and privacy compliance programs, including a major US bank (48-country compliance program), $43B private global manufacturing/investment firm (17-country compliance program), and the largest Canadian BI/financial risk software firms (24-country and 7-country compliance programs).I also practiced a significant amount of M&A, corporate and real estate law. Representative M&A engagements, incude advising:- Multinational IT, real estate and corporate clients on due diligence and drafting issues in M&A deals, including $2.5B+ spin-off and IPO of by global mobile phone maker/IT supplier;- €300M European cabling firm on $16M acquisition of North American competitor; and- $30B US military firm on $1B share acquisition of multinational tank manufacturer, $365M cross-border asset acquisition of armaments manufacturer, $265M share acquisition of Canadian armaments manufacturer, and $20M acquisition of Canadian submarine manufacturer.
