• Led Treasury during period of financial stress through multiple amendments to loan agreements, successful relaxation of financial covenants and development of comprehensive refinancing options in the midst of tumultuous financial markets. • Co developed company risk profile for launch of enterprise risk management program.• Directed company’s financial risk management committee oversight of currency and commodity hedging through use of financial instruments.• Provided executive oversight over global tax function and the development of risk mitigation strategy.

Highly complex environment included public equity offerings, 7 years of 15% compounded growth, EU expropriation of market share through a Tariff Regime rejected by the WTO, natural disasters, restructuring and successful emergence from Chapter 11, major divestitures and integration of major acquisitions.• Executive supervisor of internal audit VP and function from 1987 to 2002. Provided oversight of integrated risk assessments used by management, internal audit and external auditors.• Led the revaluation of company’s balance sheet in connection with its Chapter 11 financial restructuring, which reduced debt by $700 million, annual interest cost by $60 million and annual depreciation and amortization expense by more than $40 million.• Designed & led integration of Sarbanes – Oxley into global organization and culture. • Developed accounting, financial & administrative policy for governance and control in a decentralized environment spanning 15 operating centers and 300 subsidiaries and affiliates.• Provided executive oversight over CIO and global IT function, including its rebuilding upon relocation to new corporate headquarters in Cincinnati.
