Winston was recruited to Lazard Capital Markets shortly after it 2005 spin-off from global financialadvisory and asset management firm Lazard (NYSE: LAZ). He served as an independent adviser to C-suite and partnered with executives from both Lazard and Lazard Capital Markets.Because Lazard Capital Markets was so newly formed, Winston assisted in architecting the company’s internal functions and frameworks. He also helped expand the client base, types of deals, and services, as well as supported opening of its London office.At Lazard Capital Markets, Winston was the internal legal lead on placement / underwriting deals for clients in biotech, healthcare, alternative energy, and retail sectors. He was also involved in FINRA and SEC compliance, risk management, commercial contracts, and other legal functions.

Winston was brought into the AmLaw 100 law firm to leverage his secondment experience as Omnicare’s sole in-house counsel. He joined Simpson Thacher’s capital markets group during major paradigm shifts—shortly after the WorldCom decision impacting capital markets issuance practices and before the SEC’s 2005 overhaul of securities offering regulations.At Simpson Thacher, Winston represented issuers and underwriters in equity and debt offerings—including initial public offerings, high yield debt offerings, and offerings involving financial sponsors—with typical transaction values over $500 million. He also advised in-house counsel and corporate finance teams on legal implications of WorldCom’s new standards for underwriter due diligence obligations and liability, including policies, practices, and employee training, as well as advised on business and operational impact of new SEC offering rules.

While a corporate lawyer at Dewey Ballantine, Winston was selected by the firm for one-monthsecondment (extended to nearly one year) as sole in-house counsel at healthcare leader Omnicare. At the time, Omnicare was a NYSE-listed public company with $4 billion market cap. Winston worked at their global headquarters, reporting to the CEO and corporate secretary, and lead oversaw acquisitions valued at more than $1.7+ billion. In addition to managing the company’s legal affairs and outside counsel, he also supported the transition of the legal team’s leadership.

Winston launched his legal career as a corporate lawyer in Dewey’s predecessor firm, Dewey Ballantine. He focused on complex M&A and corporate finance. Winston advised companies within the entertainment, insurance, pharmaceutical, and biotech industries during a period of legal and regulatory changes—like the Sarbanes-Oxley Act—initiated by developments at Enron and WorldCom.During his time at the firm, Winston represented issuers and underwriters in corporate finance deals up to $400 million, as well as represented buyers and sellers in M&A deals generally between $10 million and $100 million, including both domestic and multinational deals.Winston was also selected by the firm for one-month secondment (extended to nearly one year) as sole in-house counsel at healthcare leader Omnicare.
