After Compass Environmental, Inc. was acquired, I initiated and led the team that turned talk of the combined company being “green” into the practice of considering environmental impacts of remediation activities at every stage of the remedial process to maximize the net environmental benefit of a site cleanup. The company’s award winning sustainability efforts focused on the selection of a cleanup remedy, onsite energy requirements, efficiency of on-site activities, and reduction of impacts on surrounding areas. These efforts led to modified business procedures to include quantification and real reductions in air emissions, lower overall fuel usage and the use of alternative fuels, project impact assessments, reuse and recycling of construction debris, and use of renewable energy on job sites.

As chief legal counsel to this full-service remediation, facilities-decommissioning, demolition, and water resource management contractor, with over 400 employees and $120m in revenue, I evaluated, negotiated, drafted and revised contracts for complex environmental construction and remediation projects to maximize risk identification and control for the company. I worked closely with field personnel during projects to manage change orders, delays, claims for extras, changed and unknown conditions for dispute avoidance. When necessary, I supervised teams of outside counsel on claims and litigation engagements. Additional duties include coordinating internal and external resources on due diligence, agreement negotiation, schedule preparation and closings for asset sales, stock sales, corporate financings, with values ranging from a few thousand to over $100 million. Providing practical legal advice that furthered business strategies/objectives involved advising on relevant corporate governance issues affecting business, statutory and regulatory requirements; ensuring compliance with relevant laws, regulations, and codes, and developing policies, forms and training materials.

I represented a variety of construction related clients, including owners, design professionals, general contractors, subcontractors, trade contractors, and suppliers in litigation, arbitration and negotiations. My practice emphasized mechanics liens, contract review and drafting, delay claims, claims for extras, deficiency claims, claims arising from public works projects, warranties, guarantees, bids, insurance, creditor issues in bankruptcies, performance and payment bonds, and credit agreements. Additionally, I represented buyers, sellers, owners and landlords in multifaceted real estate issues involving development, zoning, land use, subdivision and planning, commercial and residential real estate sale and leasing transactions, and property tax issues.
