Energy industry transactions and regulatory practice: Drafted documents in structured energy transactions involving power and natural gas, including prepaid natural gas transactions, power purchase agreements, and LNG terminal agreements. Experience with ERCOT protocols and FERC regulations in relation to power purchase agreements. • Assisted in the representation of a major investment bank in several prepaid natural gas transactions, including negotiating and drafting of the natural gas sales agreement, mirrored commodity swaps and interest rate swap documents, various credit documents and guaranties and contracts for the participating cities. Market value for each of these transactions is approximately $1.1 billion.• Assisted in the representation of a major energy-trading firm in the acquisition of seven natural gas fired power generation facilities scattered throughout several northeastern states. Such representation included the drafting of several acquisition agreements, extensive research on the guidelines and protocols of the independent system operators where these facilities are located and assisting in creating various credit facilities to facilitate the acquisition. • Assisted in the representation of a major energy-trading firm in the acquisition and resale of energy output from a wind generation facility in west Texas. Such representation included drafting of term sheets and proposals for the sale of the output, extensive research of the ERCOT Protocols and Guides and analysis of how they would affect this deal, including the rules surrounding renewable energy credits and drafting of a power purchase agreement between our client and the purchaser of the energy output.

Energy industry transactions and regulatory practice: Analyzed and drafted procurement contracts for Shell’s Lubricants Division. Led efforts to standardize procurement contracts across several global product lines, saving time and money by eliminating the need to have every contract reviewed in its entirety by the legal group. Negotiated terms of several international transactions and drafted language to meet the needs of all parties involved. Drafted arbitration clauses, force majeure clauses, and other key elements of contracts used in the Lubricants Division to procure various items throughout North and South America. Gained experience and understanding of both the downstream and upstream sides of the oil and gas industry.
