Practical, real-world business advice to senior management. wsc@williamcavalier.comCurrent Assignment - Counsel to multiple growing entrepreneurial businesses  Responsible for clear, concise communication of company value proposition and market positioning. Negotiate, draft and review contracts, joint development agreements, licensing agreements and non-disclosure agreements affecting operations, sales, marketing, supply chain and engineering. Assess and ensure compliance with all applicable laws, regulations and policies. Identify and assess legal risks of commercial opportunities. Participate in and influence the leadership decision-making process with appropriate executive clients and stakeholders. Independently handle legal matters and projects ranging from basic to complex. Developed, implemented and manage a privacy program to address specific business and regulatory requirements (including authorizations, mobile devices, individual rights, and Notice of Privacy Practices) Support the drafting, management, and negotiation of business associate agreements (BAAs) and other privacy and related legal matters. Oversee remediation and corrective action plans, resulting from audits, investigations, privacy reviews, and self-identified issues. Conduct annual privacy risk assessments and implement an annual plan to address key risks identified. Support all aspects of the privacy program including HIPAA Privacy and Security Rules, general consumer privacy rules and state breach notification laws. Establish and maintain relationships, credibility and trust with clients, stakeholders, legal team members and other colleagues. Supervise, manage, and evaluate outside counsel if outside counsel engagement is required. Collaborates with outside counsel (labor & employment, intellectual property, secured transactions, securities & corporate governance, intellectual property & litigation etc.) as needed. Perform other duties and functions as required.This LinkedIn profile is for informational purposes only and does not provide legal advice.
