I followed my former Troutman Pepper team to Goodwin Procter, where I will continue to support private equity and strategic M&A transactions in the healthcare sector by: (i) overseeing the healthcare regulatory issues raised by such transactions, including regulatory risk evaluations (buy-side and sell-side); (ii) addressing compliance and reimbursement issues; and (iii) determining licenses, permits and registrations required as a result of such transactions. My specific areas of regulatory expertise include: (i) federal fraud and abuse laws (Anti-Kickback Statute, Stark (self-referral prohibitions), false claims, civil monetary penalties, etc., and corresponding state laws; (ii) HIPAA privacy and security; (iii) Medicare Part D (pharmacy benefit plans); pharmacy licensing; (iv) pharmacy and facility licensing; (v) effects of transactions (changes in ownership) on healthcare licensure and registration/notice requirements; and (vi) corporate practice of medicine and fee splitting.

As a member of the Health Sciences Department, I focus my practice on health care law, representing hospitals and health systems, ambulatory surgery centers, outpatient diagnostic and treatment centers, physician groups, pharmaceutical manufacturers, medical device companies, group purchasing organizations, and retail-specialty, long-term care and compounding pharmacies with respect to a broad range of regulatory, risk management, licensing and transactional matters. In January 2003, I joined the senior administrative staff of Princeton HealthCare System (my client at that time) as Vice President & General Counsel, and as a critical thinker/member of a turn-around team for PHCS's acute-care hospital, University Medical Center at Princeton. During my ten years at PHCS, I established an organization-wide legal infrastructure, improved corporate and medical staff governance, structured hospital-physician joint ventures (including two ambulatory surgery centers), helped turn a struggling community teaching hospital into an award-winning institution (according to Leapfrog Group and The Joint Commission), and assisted with the institution's replacement-hospital development project, an endeavor which took nine years and resulted in PHCS's relocation to a newly-constructed hospital facility, University Medical Center of Princeton at Plainsboro, in May 2012. In addition, I was responsible for all legal matters at the institution, including corporate, taxation and pension, contracts, policy development, health law/regulatory, risk management and litigation, real estate transactions, and tax-exempt financing, and served as counsel to the Board of Trustees, liaison to the Governance & Nominating Committee, legal advisor to the Medical Staff Executive, Bylaws, Credentials, and Biomedical Ethics Committees, and member of the Joint Conference and Professional Affairs Committee.
