- Draft, negotiate, and close complex enterprise software license, services and SaaS/cloud agreements with customers, including Fortune 500 companies, and partnership, OEM, reseller and subcontractor agreements, balancing legal risk, business interests and revenue timelines. - Deploy understanding of the MongoDB technology ecosystem, privacy and data security requirements, and third-party partner channels to support sales and business development teams in negotiating and understanding technology transactions.- Develop and implement streamlined and efficient legal processes (e.g. developed purchasing legal review guidelines) and support purchasing and business teams in closing large/strategic vendor and marketing agreements.

Corporate finance- Worked on registered and unregistered investment-grade bond offerings by reporting U.S. domestic and foreign private issuers (issuers’, underwriters’ side) and high-yield bond offerings by U.S. domestic reporting issuers (underwriters’ side), U.S. initial public offerings (underwriters’ side), and registered common stock offerings by reporting issuers (issuers’ side). - Drafted the documentation for liability management transactions (bond exchange offerings and consent solicitations) (dealers’ side). - Assisted clients with periodic public filings and corporate governance matters; analyzed indentures for M&A transactions.

- Worked on Rule 144A and Reg S high-yield offerings by Spanish and U.K. companies (issuer’s and dealers’ side, initial and tap issuances) and Rule 144A and Reg S equity offerings by Italian companies with simultaneous Italian public offerings. - Worked on noteholders’ consent solicitations and SEC registered rights offerings.
