Work on private and public M&A transactions, PIPEs, general securities work and activist fund investments. Responsibilities for private deals include due diligence/maintaining data rooms as well as drafting transaction documents, offering memos, disclosure schedules, due diligence request lists/memos, issues lists and delegation matrices. Responsibilities for public deals include maintaining online data rooms, drafting board minutes/resolutions, disclosure schedules, merger agreements and proxy statements. Responsibilities for PIPEs include drafting transaction documents and review of key SEC filings. Responsibilities for securities work include general research, drafting Form 8-K's and accompanying resolutions/transaction documents. Conducted research projects and made presentations to M&A department on noteworthy deals and litigation.

Worked in the firm's real estate and litigation departments. Wrote memos on arbitrability and federal wiretapping. Spent a week working pro bono at the Anti Defamation League. Received full time offer following graduation.

Researched current legal stories in sports including presidential pardons, morality clauses in athlete contracts, corporate collusion, and eminent domain. Wrote several opinion pieces, which were discussed on air by host Max Kellerman and posted on ESPN.com.

Taught Jewish History, Bible and Jewish Philosophy to 10th and 12th Grade.

Wrote original material and performed nightly in Manhattan comedy clubs.
