I am a business lawyer who helps small to mid-sized businesses in Michigan manage risks and capitalize on opportunities. I’ve been a practicing lawyer for over 20 years, and I’ve worked closely with entrepreneurs throughout my career, but my exposure to what it takes to run a successful business—and understand how to support business owners—began much earlier.I grew up in an entrepreneurial family and worked at my family’s restaurant from a young age. It was during this time that I learned many valuable lessons that inform my approach to client service today, including: hard work, resilience, the value of a dollar, and responsiveness. While my law school degree means I was trained to think like a lawyer, my background allows me to understand the unique challenges faced by the business owners I serve.I am a co-founding partner of the Detroit-based law firm Dalton & Tomich, PLC, which serves clients across Michigan. I help my business clients in various capacities, including serving in the role of fractional general counsel. As fractional general counsel, I provide all of the services you might expect from an in-house counsel, with all of their familiarity with your business, but without the burden of staffing a full-time attorney. Rather than reacting to circumstances, as fractional general counsel I can work proactively on your behalf—ready to jump in when you need help, with a deep understanding of your business.I advise my clients in a number of areas, including:• Business formation, including organizational documents such as shareholder agreements• Employment issues• Securing funding• Negotiation of contracts, including leases and vendor agreements• Acquisitions and mergers• Selling or otherwise disposing of assets• Succession planning• Real estate transactions• Partnership and shareholder disputesAttentiveness, a deep understanding of my client’s business, and a pragmatic approach allow me to provide value in each engagement, and help my clients to spot and address issues before they turn into problems. This enables my clients to focus on their work, and not be bogged down by legal challenges. My work has earned me recognition as a Michigan Lawyers Weekly Go-To Lawyer - Business, one of Michigan’s Top Women Attorneys, and I have been named a Super Lawyers Rising Star and a Michigan Lawyers Weekly Up & Coming Lawyer.
