1、投融资、重大重组和资本运作（1）联系投资人、债权人，搭建重大资产重组、债务重组结构，参与设计、编写、审核资产/债务重组方案； （2）与证监局、交易所、金融监管机构沟通相关方案及投融资计划；（3）全面深度参与上市公司司法重整，深度参与恢复交易各个环节，与政府机构、监管、律师、券商、会计师、评估师全面沟通，密切配合，成功实施公司司法重整； （4）与相关中介机构和相关部门深度配合，完成恢复交易材料编制和申报；（5）为公司引入投资人，解决历史债务问题，并扩充流动资金。2、日常财务及资金管理（1）对公司董事会和总经理负责，保证公司财务会计活动健康运行。在董事会和总经理领导下，总管公司会计、报表、预算工作；（2）负责公司年度财报、其他定期报告的编制，回答交易所和监管机构问询，回答股东和投资者提问；（3）负责制定公司利润计划、资本投资、财务规划、开支预算或成本标准；（4）建立健全公司内部核算的组织、指导和数据管理体系，以及核算和财务管理的规章制度；（5）组织公司有关部门开展经济活动分析，组织编制公司财务计划、成本计划、努力降低成本、增收节支、提高效益；（6）与总经理联合审批规定限额范围内的企业经营性、融资性、投资性、固定资产购建支出；（7）参与审定公司重大财务决策，包括审定财务预、决算方案，审定重大经营性、投资性、融资性的计划和合同等。3、董事会工作和其他管理职能（1）根据董事会相关议事日程，参与董事会相关工作，参与董事会会议，表决相关议案，参加股东大会，行使董事权力；（2）作为境外子公司执行董事、境内部分子公司负责人和对外投资企业委派董事，履行管理或监督职能，根据集团统一战略决策开展相关的工作。公司董事会成员，审计委员会成员。

投资及投资战略：通过对行业宏观环境、市场规模和竞争环境的分析，行业和企业访谈，了解目标公司所处的行业地位和未来发展趋势。通过对目标公司内部运营管理的分析，考察目标企业的真正实力和目前经营管理上存在的问题。出具行研报告和企业调查报告，为投资项目评审委员会的决策提供依据。并购及运营管理：并购过程和路径设计及管理，投资的目标企业投后管理。对企业架构及组织结构、经营目标及预算、业务到财务的合规、管控流程及绩效考核等提出建议，根据需要完成后续的资本、中介等方面的对接跟撮合。
