Over 10 years' work experience as in-house legal counsel in a TOP US Engineering Company and Swiss Package Company and German Chemical Company, job responsibilities include but not limited to, • Draft, review, revise, translate, negotiate and finalize (in English and Chinese) various kinds of legal documents especially sales contracts including Design Contracts, Construction Contracts, EPCM and EPC Contracts in chemical, petrochemical and pharmaceutial industries; Filler Machine Leasing Agreement, Package Material Supply Agreement, etc. in soft drink packaging industry.• Draft, review, revise, translate, negotiate and finalize (in English and Chinese) the procurement agreements for various kinds of goods and/or services.• Labor disputes resolution, including the review, negotiate and finalize the Settlement Agreement, participate the layoff negotiation, labor dispute arbitration and litigation, and administration of the external law frim in the solution of the labor disputes.• Company compliance, including investigation of the violation of the Code of Conduct, Anti-Commercial Bribery Policy, Conflict of Interests Policy, arrangement of compliance related policy training, etc.• Company establishment, and deregistration, including preparation of the legal documents to be filed in the authorities and obtain the relevant licenses and certificates from the authorities.• Company Merge & Acquisition, provision of legal support in the M&A of the company including administration of the external law firm in the M&A project.• Company internal control, including drafting and reviewing the company internal control documents especially Investor Resolution, Board Resolution, Articles of Association, etc.• Draft, review, negotiate and finalize the office premises lease agreement.• Data Protection, including the solution related to Personal Information Protection under China PIPL.• Other legal support requested by the management team of the company.
