AREAS OF FOCUS:
Direct private equity
o Control position isn’t necessary if we have some basic protections
o Prefer to back management lead buyouts
o Geography: North America, UK, Germany, Scandinavia, Luxemburg, Israel (mainly where
rule of law is strong and favorable to business)
o Sectors: Mostly agnostic. Strengths: TMT, Consumer Products, Retail, Industrials, etc.
o No energy/metals/mining (commodity driven businesses)
The characteristics of an “ideal” portfolio company include:
-Strong management with a significant personal investment in the company
-A company that meets the right size ($3-25 million EBITDA) and industry/geographical focus parameters
-Top-three market share in a niche market
-Prefer no significant customer or supplier dependencies
-Consistent financial record
-Attractive gross margins and operating margins (indicators of defensibility and competitive advantage)
-Modest capital requirements and high free cash flow
-High returns on net tangible assets (>30%)
Distressed Debt
o Looking for solid businesses with poor capital structures
o We like complicated. Fine with bankruptcies
o Not looking to trade securities. Want to see things through the recap/restructuring and
fine with owning equity postmortem
Venture Capital
o C round and later rounds led by new financial investor
o Category leaders with proven business models
o CAGR of 50%+ Revenue > $20 million
o Cash flow that provides profit vs. growth optionality
o Comparables validate 3-5x MOIC target in < 5 years
Structured Lending
o Must be asset backed
o Asset does not need to be real estate. Very flexible as long as we like the collateral
o Must be over-collateralized
