The Services offered varies from: 1. Standard CIPC requirements and Secretarial Changes, such as submission of Annual Returns, Directors Changes etc; 2. Maintaining of all Company Records, Minute Books and Company and Share Registers; 3. Share Transactions, including drafting of Agreements, Share Certificates and Share Transfer forms; 4. Drafting of Resolutions, Board, Shareholder and Special Resolutions (including submission to CIPC if applicable); 5. Board Support in terms of guidance to the Board of their Fiduciary Responsibilities, Collating and distribution of Board or Committee Packs for Meetings; 6. Accurate and Reliable Statutory and Compliance reporting to the Board in all aspects on the Group of Companies and their subsidiaries; 7. Drafting and implementing Governance structure and framework, Drafting, updating and maintaining group organograms, board and management committee charters and delegations of authority; 8. Drafting annual work plans for all board committees and ensuring compliance; 9. Introducing Governance, Legal and Compliance to new employees joining the Companies; 10. Compliance in terms of Audit Planning, Tracking of Audits, ensuring the Annual Financial Statements are completed in time, Tax Submissions and Queries; 11. Identifying operational risks and implementing initiatives for new processes and procedures resulting in better Controls, Governance and Compliance ensuring efficient and effective work methods; 12. Oversee policies, making sure they are kept up to date and referred to the appropriate committee for approval; 13. Monitoring the changes in relevant legislation and the regulatory environment and suggesting appropriate action. 14. Administration and Compliance on Trusts at the Master’s Office; to 15.
