• Pre- and post-transaction support and advisory: monitoring/improving EBITDA and key performance indicators (KPIs); advising Boards and ownership groups as a member/non-member; ensuring compliance with financial covenants; expanding business and professional networks.
• Fees: negotiable per project/transaction such as (1) flat dollar amount, (2) hybrid (flat + variable), (3) 100% variable (no upfront fees; entirely performance-based), and (4) mostly non-cash, deferred/co-investment in a deal/transaction (referred to as merchant banking).
