GPCP Critical Infrastructure Platform, LLC

GPCP Critical Infrastructure Platform LLC ("CIP") is a holding company overseeing the assets and operations of two wholly owned subsidiaries; Plattin Creek Excavating, LLC d/b/a PCX Construction, LLC ("PCX") and CIP Utilities, LLC ("CIU"). CIP is managed by a Board of Managers comprised of five individuals. Four of the five individuals are appointed by Green Peak Capital Partners, LLC ("GPCP"), the managing member of CIP. Authority to act on behalf of CIP, and both its wholly owned subsidiaries, is exclusive to CIP's Board of Managers, and in some instances, CIP's Class A and/or Class A and Class B members. GPCP, nor its members and/or managers, have authority to act on behalf of CIP.
