Greenphil Mineral Exploration and Development Co., Inc. (Greenphil) is a corporation duly organized and existing under the laws of the Republic of the Philippines with company registration no. CS201208350. The primary purpose of Greenphil is to acquire, purchase, hold patent, lease, sell, assign, mortgage, transfer, convey, and to engage in, manage, develop, operate, enter into operating/financial agreement(s), joint-venture or profit/production sharing agreement(s) and/or otherwise contract for the location, subsurface of mines, mining properties, mining claims/leases, mining rights, ore deposits of mineral rocks, earth, water, water rights, foreshore leases including surface rights of every kind, nature and description. Furthermore, Greenphil is engaged in providing management and/or technical services to person(s), association(s), partnerships(s) and/or corporation(s) engaged in mining and related businesses except the management of their funds, portfolios and similar assets. In general, Greenphil was organized for the purposes of engaging in the mining business and trade in the Philippines and elsewhere. Greenphil is a private company duly-registered with the Securities and Exchange Commission (SEC), with an authorized capital stock of One Hundred Million Pesos (PhP100,000,000.00) divided into one million (1,000,000) shares with a par value of One hundred Pesos (PhP100.00) per share. Out of this authorized capital stock, Twenty Five Million and One Hundred Pesos (PhP25,000,100.00) have been subscribed.
