Umm Al Hayman For Wastewater Treatment Company K.S.P.C.

The Umm Al Hayman for Wastewater Treatment Company K.S.P.C. (the “Project Company”) is a Kuwaiti Shareholding Public Company incorporated under the provisions of Law No. 116 of 2014 regarding Public Private Partnership (PPP) and its executive regulations. The Project Company was incorporated on 27 November 2019, and its commercial license was registered at the Ministry of Commerce and Industry on 26 December 2019 (date of inception) having commercial registration number 405432. On 23 January 2020, the Project Company signed a Transmission and Sewage Treatment PPP (“TST PPP”) Agreement with the State of Kuwait represented by the Ministry of Public Works (“MPW” or the “Buyer”) which consists of Build, Operate & Transfer (“BOT”) works scheme and Design, Built & Operate (“DBO”) works scheme together referred as the Umm Al Hayman Wastewater Project (the “Project”). Under the BOT works scheme, the Project Company shall develop, design, finance, procure, construct, test, commission, operate and maintain the Umm Al Hayman Wastewater Treatment Plant (the “Plant”) having an initial output capacity of 500,000 m3 per day. Upon completion of the Plant, the Project Company shall thereafter operate and maintain it for a period of 25 years. The Plant shall be designed in a way that it could further be expanded by 200,000 m3 per day based on the approval of the Buyer, upon which the ultimate capacity of the Plant shall reach 700,000 m3 per day. Under the DBO works scheme, the Project Company through a special purpose company shall take over the existing facilities of the MPW and provide the operations and maintenance services along with the development, design, construction and related activities of sewage influent and treated sewage effluent networks, reservoirs, transmission facilities together with a major power transformer station.
