During my FTC with PM I carried out transactional work and provided general corporate support to private equity clients, public and private companies on mergers and acquisitions, management buyouts, private equity investments, disposals, including carrying out due diligence, drafting acquisition / disposal documentation and constitutional documents for:• The largest warehouse storage solutions provider in the UK (an investee company of a PE fund) in the MBO of a manufacturing group focused on producing storage equipment valued at £23 million;• The largest manager of UK pension fund assets in the share sale of the group of companies providing and administering SIPPs for £43 million;• A newly established vehicle by a global leader in integrated precious metals in drafting the Shareholders’ Agreement and new Articles of Association;• An UK REIT (focusing on a student accommodation investment) for an IPO on the main market of the LSE raising more than £100 million;• A public life sciences company (pioneering a technology platform in respiratory diseases) in the AIM secondary placing on the LSE raising more than £20 million;• A BVI company advising on the assignment and novation of debts under the license agreements of approximately USD1 million; and• An UK-based operator in revising the hotel management agreement.Gained instructions to act for an UK-based property investment and development company (listed on the LSE and constituent of the FTSE 250 Index) in a luxury boutique hotel related deal in the centre of London.

Sole responsibility on providing legal advice and support to development & transaction & operations compliance functions across emerging markets:Set up and structure of the operations in the regions, draft and negotiate complex corporate and commercial contracts, including hotel management agreements, franchise agreements, multiple development agreements, NDAs and joint venture documentation in collaboration with cross-functional teams. Working with internal and external stakeholders to provide legal support to all levels of management and a multitude of functions.• Negotiated JV agreement with a major developer, Venture Investments and Yield Management LLP, which resulted in signing of multiple development agreement for development of 15 hotels, and the launch of the Holiday Inn Express brand throughout Russia;• Identified issues during corporate and real estate due diligence to ensure corporate compliance and satisfactory land ownership by the owner/investor; • Supervised IHG’s managed and franchised hotels in emerging markets on legal compliance issues, worked with internal and external stakeholders to resolve disputes with hotel owners, vendors and guests related to operational, regulatory and licensing issues, including employment, tax, IP, currency control, anti-bribery, data privacy and compliance issues; tortious interference;• Negotiated over 25 management and franchise agreements, technical services agreements together with ancillary documents, key money agreements; • Participated with internal stakeholders in the project of setting up the Shared Services Centre in Russia for provision of certain services to the hotels that could be outsourced to IHG; and• Ensured changes were implemented into the standard templates following changes in legislation (anti-bribery, data privacy, etc) and worked with the IHG teams from different regions (AMEA, Europe, Greater China and Global/Americas) to develop hotel management agreement precedent to use globally.

Real estate and H&L team:I advised clients (domestic and international investors and developers, international banks, institutional funds) on real estate transactions, including corporate and financing issues. I drafted and negotiated agreements relating to commercial real estate (participating in negotiations on acquisitions and disposals of assets and shares, long-term office and warehouse leases); carried out a number of due diligence investigations of land plots and buildings located across Russia.From the moment I joined the company I became an active member of CMS Cameron McKenna’s CEE Hotel and Leisure team, and provided advice to companies operating in the hotel industry on various aspects of their business across Europe, including CEE.
