Andy is a transactional and regulatory attorney for clients throughout the healthcare and life sciences industries, with more than 30 years of experience representing academic medical centers, health systems, hospitals, long-term care institutions, physicians and other life sciences and health care providers, private equity investors, insurance companies and managed care organizations. Andy’s transactional experience includes mergers and acquisitions, joint ventures and other collaborative affiliations. He recently served as lead counsel in the $3.75 billion sale of the health insurance business of a major New York HMO to the largest provider of government-sponsored health insurance in the country, and in the $100 million sale of a Minnesota-based third party health administrator to a private equity firm. On the regulatory side, Andy counsels clients in the areas of digital health, clinically integrated networks and population health management, corporate compliance and corporate governance, fraud and abuse, HIPAA, clinical research, medical staff matters, and Medicare/Medicaid issues.Andy has a national practice in the medical education area, representing medical schools, academic medical centers, health care systems, teaching hospitals and other institutions across the country in their accreditation as sponsors of graduate medical education programs, and in the accreditation of their residency and fellowship programs. Andy also counsels educational institutions at all levels, including secondary schools, colleges and universities, and graduate and professional schools. He has a significant practice representing not-for-profit and tax-exempt organizations on a broad range of matters, including executive compensation analyses for purposes of demonstrating an organization’s compliance with the Intermediate Sanctions regulations of the Internal Revenue Service.
