Responsible for supporting TD's North American card business

Primary responsibility for negotiating affinity marketing and licensing agreements for financial service products (major corporations, professional associations, sports leagues, teams, colleges and universities). Primary responsibility for acquisition and divestiture of Portfolios of credit card accounts. Led international credit card expansion efforts, including strategic relationship with Commercial Construction Bank in China, strategic partnership with Ixe Banco in Mexico, and exploration of Japanese and Indian markets. Led negotiations with MasterCard, and assisted in Visa and American Express negotiations. Primary responsibility for all vendor relationships for credit card and debit card including software and enterprise agreements, development and filing of intellectual property patents, rewards platform partners and service providers. Primary responsibility for Student Lending business (marketing consumer credit and debit products to students, and student loan servicing and collection).

Sole responsibility for all capital markets transactions for MBNA Corporation, the Bank and its affiliates, including United Kingdom and Canadian entities. Sole responsibility for negotiating and drafting loan agreements for United States Corporate and Bank entities, Canada and the UK.Sole legal responsibility for recovery functions at the Bank relating to charged off consumer and business loan accounts, in-house bankruptcy expert. Member of the mergers and acquisitions team. Member of the vendor contracts team. Patent and intellectual property filings, inquiries, and review including the drafting of Bank policy. Software licensing and development, servicing agreements, OEM agreements, internet marketing agreements and e-commerce compliance.

Responsible for the liquidation of over 4000 subsidiary corporations of banks in receivership (including partnerships, joint ventures and other mixed ownership entities). Managed approximately 20 senior attorneys and paralegals in satellite offices, designed and taught three annual training sessions. Advised senior management on derivative financial instruments. FDIC contact for inter agency relations with FNMA, GNMA, FMHA, FHLMC, HUD, FHA-VA.

Responsibility for the negotiation and drafting of corporate finance transactions (primarily mergers and acquisitions, debt and credit facilities) including foreign acquisition of US entities.

Responsibility for drafting and negotiating finance transactions including mortgage backed securities, credit facilities, leveraged lease transactions and initial public offerings) and responsibility for general corporate matters and insurance matters (inland marine, reinsurance and the related compliance issues).
