Serves as legal partner to the executive compensation business team, responsible for advising the business on regulatory matters surrounding executive compensation both domestically and internationally, including with respect to 409A, Dodd-Frank, the Securities Exchange Act, Capital Requirements Directive IV and V, the Internal Revenue Code, and Principles for Sound Compensation. Assists with maintenance and legal interpretation of current and legacy retirement and deferred compensation arrangements.Experienced in proxy and other required disclosures (including for Section 16 officers), bespoke offer and retention arrangements for competitive talent, separation agreements, annual review and updates to global grant agreements, compensation-related responses to international regulators, and aviation tracking.

Served as the legal partner to Lowe's Total Rewards team and managed the legal design, maintenance and compliance of company benefits covering 300,000 employees, including: medical, voluntary benefits, retirement, deferred compensation, annual and long-term incentive plans, tuition assistance, employee stock purchase plan (including for international participants), executive physical and financial planning, and executive compensation. Ensured the company was timely in compliance with COVID-related mandates. Trained Total Rewards and committees on a broad range of subjects (ACA, HIPAA, fiduciary duty). Completed benefits-related due diligence for acquisitions and managed purchase agreement language surrounding benefits post-close.Served as the Company's contact for benefits-related regulatory inquiries and audits. Key legal reviewer of all benefit vendor/third-party administrator contracts and statements of work as well as RFPs. Broad experience in corporate employee benefits and compensation compliance. Assisted clients in developing and maintaining health and welfare, executive compensation, severance, retirement, deferred compensation, and equity benefit plans. Deep experience with Affordable Care Act compliance and ESRP responses as well as HIPAA compliance and breach resolution. Conducted benefits-related due diligence and developed benefit programs for acquired employees in stock, asset, and membership interest deals ranging from $3 million to $1 billion. Represented employers, insurers and administrators with health plan, HSA, HRA and flexible spending benefit compliance as well as with the creation of regulatory compliant products. Conducted controlled group analyses and assisted with MEWA reporting requirements.Also assisted in litigation-related matters and assisted with all stages of employment and general business lawsuits and arbitrations.

Term clerkship. Co-managed the judge's civil docket and drafted orders on discovery issues, dispositive motions, and pre-trial and post-trial motions involving a broad spectrum of state and federal legal issues including Title VII, Section 1983, class action litigation, False Claims Act, FLSA, constitutional and statutory challenges to death penalty protocol, trespass and easements, federal civil procedure, telecommunications, Social Security Disability, contract disputes, and fiduciary duty.

Review and administer payroll for 50+ employees; assist in the creation and submission of regulatory payroll reports; process year-end tax reports; manage employee documents in compliance with retention requirements; prepare and compile monthly reports for board meetings; interview existing employees to understand primary job responsibilities and create employee review system based on roles within the credit union.
