Spearheads and Manages: • Contract negotiations on client and vendor agreements• Risk management• Corporate compliance• Pending Litigation• Pre-litigation dispute resolution• Business registrations and licenses• Document retentionResponsibilities include (but not limited to): • Manage and negotiate client and vendor agreements• Participate in the development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters• Judge the merits of legal cases filed against or on behalf of the company, work with the appropriate executives to define a strategy and approve settlements of disputes where warranted• Responsible for ensuring that the company conducts its business in compliance with applicable laws and regulations for business operations\registrations and professional licensing• Structure and manage the company’s internal legal function and staff• Advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities• Implementation of corporate policies and compliance programs• Manage risk management functions including management of broker relationship and placement and renewals of professional and general insurance policies and coverages• Develop short and long-term strategic vision for Legal\Risk Management activity• Develop a departmental plan that supports business goals and growth plans• Support major business transactions, including acquisitions, divestitures and joint ventures• Facilitate accurate and timely response to legal notices, summons and requests for company information related to business operations.• Design and implement policies and procedures related to contracts, legal proceedings, M&A activity, state and federal registrations, professional licensing• Create and enforce comprehensive company policies and procedures• Protect companywide intellectual property
