Successful Private Offering with BT Alex Brown – In 1998, the stock of Space Master International, Inc. was sold to William Scotsman, Inc. In conjunction with BT Alex Brown, provided all historical and projected financial information, spearheaded all due diligence audits, involved in formulating terms and conditions of sale and played an integral role in transition process. Banking Relations – Performed all cash management functions. Managed $100 million revolving credit and term loan facility, based on LIBOR and Prime rate loans. Borrowings were limited to set percentage of fleet equipment and receivables, which were reported weekly. Designed and reported compliance with monthly and quarterly financial covenants. Financial Models, Budgets and Forecasts – produced many sophisticated financial models driven by set of defined assumptions. Developed budgets and forecasts for all branches based on EBITDA, cash flows and income statements. Branch and Company Performance Results Productivity Expectations/Measurements – developed break-even analyses, as well as, models to produce targeted profit margins. Defined productivity expectations for individual sales positions, which were continually monitored, to obtain the desired results of the organization. Bonding, Insurance and Risk Management – managed relationship with bonding surety and continually monitored exposures on a cost-benefit basis.
