• Oversee Strategic Management by establishing enterprise-wide business objectives, business strategy and plans (capital, financial, liquidity), including the Risk Appetite and review these annually to ensure that the strategic plans remain appropriate and prudent in light of current and anticipated business, economic environment, resources, risks and results• Confirm adequacy of the internal control framework• Appointment, performance review and compensation of the CEO• Succession plans with respect to the Board, CEO and, where appropriate, other members of Senior Management• Approve both internal and external audit plans, including audit fees and the scope of the audit engagements• Approve significant strategic initiatives or transactions, such as mergers and acquisitions• Review and discuss: Significant operational and business policies; implementation of internal controls, including their effectiveness; organizational structure and compliance with applicable laws, regulations and guidelines

Support the Bank of Nova Scotia’s program delegate for Uncleared Margin Rules (UMR). Provide UMR subject matter expertise; work with Front Office Business Lead, Regulatory Initiatives Group and other internal and external stakeholders to facilitate the delivery of the program. • Lead discussions with Front Office stakeholders to ensure their fulsome understanding of various aspects of the Margin Rules program, including any actions which are required to be taken• Coordinate required education, training and communications for all levels of Front Office personnel• Work with Front Office Business Lead to navigate the organization and work with various business stakeholders to achieve results• Timely negotiation of Initial Margin Eligible Collateral Schedules with in scope entities that adhere with the Bank’s risk appetite and risk culture while complying with governing regulations, internal policies and procedures• Collaborate with internal stakeholders (Documentation, Client Onboarding and Collateral Management) and external stakeholders (Bank’s custodian, our clients and their respective custodians) to ensure the timely execution of Initial Margin documentation and activation of corresponding custodial accounts
