Performing internal audit for all brands in China, work including but not limited to:- SOX and balance sheet review for all markets- functional audit program, like supply chain, food safety, charity funds, franchise- System Review- Optimize internal control policy and procedure

 In-charge the engagements of providing:a) IPO audit services for Groups who seek to be listed in HK main board；b) Annual audit services for Listing companies of both H share and A share. Main work exposures and responsibilities:- Lead the team to perform audit work and issue reports (signed over 40 statutory audit report in 2012 final);- Deeply involved in IPO procedures, includes writing prospectus, do financial modeling for profit and working capital forecast, cooperate with sponsors, lawyers and other third parties;- Undertake C-SOX project, lead the team to understand and test controls over client’s business process and provide improvement advise; Main project exposures include: Sinotruk, Shanghai Pharm, Charter Group (department store), China Grand Automotive, etc.

 Provide transaction service for both corporateand PE firm who seeks M&A opportunities in Mainland China in various kinds of industries. Main work exposures and responsibilities:- Financial due diligence work on the target company before the deal. Interview with senior management, review and analysis of historical financial information and understand the target’s business in a short time;- Post-deal integration service. Advise on the business combination process for accounting treatment and tax issues as well, help the buyer take over daily operating of the target company, continuously monitor and provide financial information review after the deal; Industries covered: FMCG, Medical device and supplies, Financial services, Chemical, Machinery, etc.
