Managed and implemented the C-suite level Ethics & Compliance Steering Committee procedures for determining, adopting, and deploying the company’s ethics and compliance policies; evaluated potential exposures. Developed enterprise wide compliance education and monitoring programs. Prepared and presented required reports to governmental entities and C-level executives on status of compliance activities.

Advised senior and line management in areas of: antitrust; domestic and international mergers and acquisitions; advertising; business continuity and disaster planning; distribution; corporate ethics & compliance policy; directors’ & officers’ insurance; general corporate and commercial (non-employment) matters; insurance; government investigations; personal injury and workers’ compensation; securities; trade, telemarketing, privacy regulation; and workplace security.

Practice included antitrust, U.S. “foreign asset control” regulations, securities (including class actions and hostile takeovers), products liability, insurance, real estate, savings & loan, money laundering, Foreign Corrupt Practices Act, and intellectual property matters.
