I represent U.S. and non-U.S. financial institutions in their issuances of structured products linked to equities, commodities, currencies, interest rates and other underlying assets. My work includes registered and exempt medium term note programs, and bank note programs for U.S. banks, U.S. and non-U.S. banks. I have been the lead attorney in capital-raising debt and equity transactions for large bank holding companies, including several common stock issuances. I have extensive experience representing issuers and underwriters in public and private debt issuances, SEC compliance and general corporate and securities law. My practice has a particular focus on exchange traded notes, and I regularly write articles and speak at seminars and conferences on that topic.

Advised on Structured Products for two frequent issuers. Lead attorney on all exchange-traded notes issued by a major non-U.S. bank from 2008 - 2012.

Represented U.S. bank holding companies and banks in registered and exempt debt and equity offerings

Represented U.S. and foreign issuers in debt and equity offerings.
