My practice as an attorney focuses on the investment management industry. I work with both institutional investors and investment managers. My objective is to be a solution for investment management clients seeking responsive counsel with deep industry experience who will help them achieve their cost containment goals. Institutional investors include several top endowments, outsourced chief investment offices (OCIOs), family offices and pension plans. For institutional investors, I review the legal documents for private equity and hedge fund investments they are considering, and negotiate side letters for those investments. I negotiate private equity secondary sales and purchases and co-invest transactions. I also assist institutional investors in understanding and negotiating legal documents for their brokerage, custody and swap arrangements. I regularly counsel institutional clients on fiduciary issues that arise in their investment activities.For fund managers, I handle fund formation for hedge funds, real estate funds and private equity funds, as well as funds of funds/OCIO platforms. This work includes preparing organizational and offering documents and structuring the fund to meet the needs of taxable, tax-exempt and offshore investors. I have experience working with master-feeder and other offshore structures. In addition, I advise fund managers and RIAs as an outside general counsel on regulatory matters, including best execution/soft dollar considerations, custody issues, agency cross trades and insider trading rules. I have familiarity with ERISA and UBTI issues affecting funds and investment advisory clients. I assist fund managers and investment advisors with investment management agreements with their clients, as well as their internal ownership, employment and compensation agreements.
