CurrentBrian is a Partner in Cooley's capital markets and public companies practice groups and is resident in the firm's Northern Virginia office located in Reston, Virginia. He practices corporate and securities law, with an emphasis on representing high-growth technology and life sciences companies and the investors and investment banks involved with those companies. Brian has counseled clients in connection with registered public offerings of equity (representing both issuers and underwriters), SEC reporting and compliance, Sarbanes-Oxley compliance, corporate governance, mergers and acquisitions, venture capital and other private placement financings, and general corporate counseling. He has been involved with over 50 public offering transactions, including over 25 completed IPOs, in the last five years.Brian received his J.D. degree, with distinction, from Stanford Law School, where he was an executive editor of the Stanford Law Review. He graduated magna cum laude from the University of Pennsylvania, receiving a B.S. in Economics, with a concentration in accounting, from the Wharton School, and a B.A. in History, with a concentration in American history, from the College of Arts and Sciences.Brian is a member of the Virginia State Bar and a former certified public accountant in the Commonwealth of Pennsylvania.
