I am a tax and transactional attorney who provides practical and creative solutions to tax and business issues. Unlike most tax lawyers, my first answer to your question . . . "can we do this?" is not "no". Let's think about the issue and figure out a way to do what you want to do from a business perspective in the most tax-efficient way possible. The CPA-side of me loves helping clients through financial and tax due diligence pre-closing and the typically unpleasant post-closing adjustment process. Call me crazy, but I really enjoy working through all the tedious definitions that comprise "net working capital". Another aspect of my tax practice involves helping clients navigate tax audits and disputes with the IRS and state taxing authorities. I understand the fear and anxiety that opening the mail to find an envelope from the IRS can trigger. I have helped many clients through audits, administrative appeals, and even on to Tax Court. I'm also a teacher. In addition to practicing law, I have taught tax courses as an adjunct and as a full-time faculty member for many years. Teaching complex corporate and partnership tax topics for so many years has helped me better explain those topics to clients and colleagues. In my spare time, I update the treatise entitled "Tucker on Tax Planning for Real Estate Transactions".
