Since receiving his doctorate, Bruce has vigorously pursued his academic interests, which have been guided by a fundamental thesis that good things happen in organizations when work-related information is available to all. Bruce’s most recently published academic work explores why people are proactive in the workplace, a topic of great interest in today’s world given the unprecedented importance of teamwork and collaboration to organizational success, despite the ever-increasing challenges of workplace diversity. (Hawthorne 2024a). His current article in process, which is in journal peer review, explores how making information available to people in the workplace leads to trust and trusting behaviors among co-workers, (Hawthorne 2024b), and suggests that co-worker trust may be much more about whether or not people know what is going on in the workplace than it is about individual co-workers’ trustworthiness characteristics.

Hawthorne Vineyards is a 33-acre vineyard, winery and tasting room located in the Old Mission Peninsula appellation. HV, which Bruce co-founded with his wife, Cathleen, is known for its “boutique” approach, which focuses on quality over quantity and has enabled HV brand wines to achieve numerous national awards and devoted followers, as well as a loyal clientele of winery patrons. HV is noted for its quality wines, picturesque setting and warm hospitality.

Mr. Hawthorne helped Fortune 500 company Huntington Ingalls, America’s largest military shipbuilder, spin off from Northrop Grumman and become an independent public company. He advised the senior management team and the board on governance, compliance, risk management, M&A, and shareholder matters. He led a state-of-the-art compliance program, a diversity and inclusion initiative, and a major case litigation and dispute resolution strategy. He also built a strong internal legal team, developed internal general counsel succession candidates (which include the Company’s current general EVP/General Counsel and its current Corporate Secretary), and onboarded a new external successor.Bruce’s accomplishments at Huntington Ingalls include:• Formulating and executing the public company action plan for the senior management team;• Standing up the new board and facilitating its best governance practices;• Creating an award-winning compliance organization that established the company’s present responsibility;• Initiating and overseeing new processes for pursuing governmental and commercial disputes and claims;• Reshaping the legal team’s profile and winning a diversity and inclusion award;• Providing strategic leadership of major case litigation and dispute resolution, including successful defense of a $2 billion qui tam suit, recovery of $180 million from a Hurricane Katrina insurance claim, an award of $140 million from an international arbitration against the Bolivarian Republic of Venezuela, recovery of $150 million from a professional liability lawsuit, and an award of $66 million from an international insurance dispute and arbitration;• Coordinating the establishment of company processes and procedures for pursuing M&A and joint venture opportunities;• Creating a new investigations group and managing internal investigations of alleged misconduct;• Leading the implementation of high-tech board and management collaboration tools.

Lamberts Cove Acquisition Corp was organized as a special purpose acquisition company to pursue opportunities in the telecommunications, media and technology industries. The company assembled a very strong team and was enthusiastically received by Wall Street. However, the recent economic conditions have delayed the implementaton of the business strategy.

Bruce joined EDS as it was pursuing a major corporate transformation. He led a global legal team of approximately 450 people whose job it was to provide counsel, perspective and support to a population of 110,000 employees working in a deal driven environment. Because approximately half of EDS’s business is outside the U. S., primarily in Europe and Asia, His work required a global perspective and regular travel to EDS’s destinations around the world.Bruce's executive leadership accomplishments at EDS included a major contribution to the resolution of issues around key problem contracts (including a multi-billion dollar contract with the U.S. government) and helping the company take advantage of wisdom gained from past experiences by developing new processes to assure better-informed decisions and achieve better execution. He also significantly moved the needle toward resolution of many of the company’s major litigation problems and improved its partnering with outside legal providers. In his role as General Counsel he worked very closely with the board of directors, and the company achieved a top level ISS governance ranking during this tenure.

Beginning in January 2003, Bruce was intimately involved in the change in leadership of Sprint Corporation, a company for which he had been lead outside counsel for more than ten years. Working initially in the role of outside counsel, he led the team that secured the judicial victory allowing the Sprint board to engage the services of a new CEO in the face of fierce resistance from a former employer. Because the change in leadership also involved the departure of multiple lead team members, the Sprint Board invited Bruce to join the senior management team in a business capacity to provide additional senior level experience, continuity and breadth of skills at a time of extensive leadership transition.

As a senior partner of the leading U.S. law firm of King & Spalding LLP, Bruce established recognized expertise in the corporate and securities laws. He has broad experience in mergers and acquisitions, private equity transactions, strategic joint ventures and public offerings. He served as a key corporate advisor and, as a senior leader of the firm with significant practice development responsibilities; he established regular contacts with participants in the capital markets and the corporate world in general.As a leader, Bruce established a track record of continued learning and professional development for both himself and others around him. He is well regarded as a mentor, relationship developer and practice builder for a professional services organization. His ability to maintain focus and his strong beliefs in the benefits of transparency, teamwork and strategy enabled him to help King & Spalding LLP distinguish itself as a national practice leader in a highly competitive environment.
