As general counsel for AFS, a privately held telecom start-up company, I created the legal & regulatory departments for the company. Practical & results oriented, I facilitated the achievement of the company's business objectives, including achieving EBITDA goals and reducing operating expenses. I was responsible for all legal & regulatory matters impacting the company including:Negotiating & drafting customer contracts & Master Service Agreements for telecommunications services, dark fiber services and information services.Negotiating & drafting vendor contracts, including telecom service agreements with other carriers, Master Purchase Agreements with telecom equipment manufacturers, network construction & maintenance & locate contracts, IT & software Licenses.Negotiating & drafting franchise, ROW & Pole Attachment & Conduit Agreements.Negotiating & drafting debt facilities for approximately $30m in senior & subordinated debt.Negotiating & Drafting Stock Purchase & Asset Purchase Agreements in connection with four telecom company acquisitions & one product line divestiture.Negotiating & Drafting the Stock Purchase Agreement & related documents for 2010 multi-million dollar sale of company, providing a positive ROI to our investors.I established before the FCC that AFS was a telecommunications carrier as defined by statute & regulation. I was responsible for the company's compliance with local, state, & federal regulatory authorities & filing approximately 100 reports per annum. I represented the company before state PUC's and secured the needed state certifications to operate as a public utility.I have successfully prosecuted and defended a variety of litigation claims including Qui Tam claims, preference claims, mechanic's lien claims and breach of contract claims.
