I have over 20 years of telecommunications experience, representing wireline and wireless carriers and infrastructure providers. My expertise includes network construction and maintenance contracts; leases for the deployment of fiber optic networks, IRUs, franchise and ROW agreements, pole attachment agreements and agreements for the deployment of wireless facilities, including macro sites, distributed antenna systems (DAS) and small cells, and teaming agreements; and carrier contracts for the lease of lit services and dark fiber, data center co-location and transactional work, including financing and mergers and acquisitions of telecommunications companies.

As general counsel for AFS, a privately held telecom start-up company, I created the legal & regulatory departments for the company. Practical & results oriented, I facilitated the achievement of the company's business objectives, including achieving EBITDA goals and reducing operating expenses. I was responsible for all legal & regulatory matters impacting the company including:Negotiating & drafting customer contracts & Master Service Agreements for telecommunications services, dark fiber services and information services.Negotiating & drafting vendor contracts, including telecom service agreements with other carriers, Master Purchase Agreements with telecom equipment manufacturers, network construction & maintenance & locate contracts, IT & software Licenses.Negotiating & drafting franchise, ROW & Pole Attachment & Conduit Agreements.Negotiating & drafting debt facilities for approximately $30m in senior & subordinated debt.Negotiating & Drafting Stock Purchase & Asset Purchase Agreements in connection with four telecom company acquisitions & one product line divestiture.Negotiating & Drafting the Stock Purchase Agreement & related documents for 2010 multi-million dollar sale of company, providing a positive ROI to our investors.I established before the FCC that AFS was a telecommunications carrier as defined by statute & regulation. I was responsible for the company's compliance with local, state, & federal regulatory authorities & filing approximately 100 reports per annum. I represented the company before state PUC's and secured the needed state certifications to operate as a public utility.I have successfully prosecuted and defended a variety of litigation claims including Qui Tam claims, preference claims, mechanic's lien claims and breach of contract claims.

I was the de facto in house counsel for Frontier Cellular/Verizon Wireless upstate New York region. I was responsible for all facets of the acquisition, management and enhancement in value of Frontier Cellular's real estate assets.My responsibilities included the following:Contract Negotiations:Provided in-house support to Senior Management and their respective departments by reviewing & negotiating a variety of contracts.Cell Site Acquisition:Supervised cell site acquisition vendors. Reviewed and negotiated terms of leases & purchase contracts for cell sites and switch locations.Co-Location:Managed very active co-location program. Drafted & negotiated co-location agreements with Nextel, Cellular One, Sprint, Omnipoint, Sygnet & AT&T Wireless as well as various governmental entities. Exceeded ‘99 goal of generating $1M in co-location revenue.Retail Leases:Drafted & negotiated leases for Frontier Cellular & On Air Wireless retail locations including mall locations, kiosks, strip plazas, & freestanding locations.Merger & Acquisition Due Diligence:Preformed the due diligence review of 400 cell sites & 65 retail locations on behalf of Frontier Cellular for the Bell Atlantic Mobile merger. Addressed & resolved issues regarding landlord consent, use restrictions, environmental liabilities & lease renewals. Sale & Leaseback of Tower Portfolio:Engaged in the collection of data and the performance of due diligence to facilitate the sale & the leaseback of 400 cell sites to a third party tower vendor. Addressed & resolved issues regarding assignment of leases, contracts, permits, curing title defects, revenue tracking & subleasing. Management Effectively managed a department of five & a $6M budget to achieve company objectives while building a sense of teamwork and recognizing the successes of the department.
