At the end of 2021, I was appointed by a group of OEC bondholders to join the company's board of directors, as an independent member.OEC – formerly Odebrecht Engenharia e Construção – has outstanding technical competence in the civil construction segment of complex buildings and sophisticated equipment. As a member of its board of directors, I collaborate, alongside my peers, in taking central decisions for the transformation of the company, to ensure the success of its commercial recovery. In recent years, the company had its new compliance and anti-corruption programs certified by numerous national and foreign bodies.

Sfera Law is a young law firm, founded by some of the best lawyers I have had the privilege to meet in my years working in the legal world. As a member of Sfera's advisory board, I intend to contribute to the management and strategic direction of the firm (without getting involved, naturally, in the legal work provided by its partners).

São Paulo International Airport in Guarulhos is the largest airport in South America and one of the largest in the world. To restructure Invepar, the airport's controller, I acted as a member – and later as Chairman – of its board of directors, seeking to create opportunities for revenue growth and maximizing the value of the large investment made by Invepar in the concession.

Rio De Janeiro Area, Brazil

Founded in 2000, Invepar was born as one of the largest infrastructure holdings in Brazil, having controlled the Rio de Janeiro subway system, Guarulhos International Airport, and several highways throughout the country, including Raposo Tavares and Linha Amarela. I acted as a representative of the bondholders of the former OAS, which were granted shares from the controlling block of Invepar in the OAS' judicial restructuring (similar to a chapter 11 procedure). In the context of such representation, I served on Invepar's board of directors between 2019 and 2022, where I was able, alongside my peers, to make important decisions for the company's financial restructuring. In the little more than two years that I have been with the company, Invepar has sharply cut costs and reduced its debt by almost R$2 billion, resuming a sustainable operating trajectory

Grupo Cosan is one of the largest Brazilian conglomerates, with a remarkable position in the energy and logistics sectors. I was appointed by Cosan Log as one of the three members of the Independent Committee created by the company, according to Opinion 35 (Parecer 35) of the CVM, to negotiate the exchange ratio for the combination of the company with the other two holding companies of the Cosan group: Cosan Energia and Cosan Limited.

Terrafirma is one of the main strategic consultancies focused on transport infrastructure in Brazil, having prepared the vast majority of studies that supported airport concessions in Brazil. As one of the independent members of its advisory board, I was able to contribute, along with the other members of the board, to the improvement of its governance and management rules.

At the time I worked as President, Librapar was a holding company with investments in airports, cargo transportation in inland waterways, in addition to other high-growth opportunities. I was in charge of the process of selling CNA (a company with more than 80 years of history, successfully sold by the Group) and the preparation for the subsequent sale of the airport business, which was concluded after my departure. The two divestitures constituted strategic objectives for Librapar, which moved its focus to other priorities.

Lazard, based in New York, is one of the most prestigious investment banks in the world, with over 150 years of history and presence in all relevant markets, from Asia to Europe. During my time as partner and COO of Lazard's Brazilian operation, the bank increased its investment in the Brazilian operation. In addition to being responsible for administration, I worked alongside my partners in winning engagements and conducting M&A operations for the bank's clients, contributing to the expansion of service revenue.

BMA is indisputably one of the leading corporate law firms in Latin America. I was invited by Chico Müssnich (who had been my professor at PUC) and by Plínio Barbosa to take part the team of founders of the firm (which, initially, was called Barbosa & Müssnich; Paulo Aragão, the “A” of the BMA, joined some years later, after leaving GP Investimentos, where he was a partner at Lehman, Telles, and Sicupira). In my more than 15 years of BMA, I had two very different roles. In the first 10 years, as one of the partners in the corporate area, I was in charge of large M&A transactions, for national and foreign clients. It was a remarkable experience, at a time when mergers and acquisitions were rarer and more peculiar. In my tenth year at the firm, I was elected as its first Managing Partner and Chairman, roles I held until I left BM&A in 2009.As Managing Partner and Chairman of the Management Committee, I was able to implement, with the support of my partners at the time, some central measures for the institutionalization of the firm, such as the change in the systems of remuneration of partners and associates, overhaul of the rules for evaluation and promotion of professionals, expansion of areas of practice that were still incipient, among others. Over the five years I worked as the firm's Managing Partner, the net cash generation for distribution to partners grew significantly. My experience as a partner and Managing Partner at BMA had a huge influence on my professional development.

In 2003, Fundação Getúlio Vargas, in the wake of its success as a graduate school in the fields of economics and business administration, decided to create law schools in Rio de Janeiro and São Paulo. That year, I was recruited by Joaquim Falcão, Director of FGV Direito Rio, to manage the efforts to create the new law school's graduate courses and, later, the law degree itself.

Veirano Advogados is one of the leading Brazilian corporate law firms. I started my career in the law firm's litigation area, led at the time by Luiz Guilherme Migliora. It was a period of great learning that contributed enormously to my professional identity.
