In this role, I provide day-to-day strategic advice to the finance, investor relations, marketing and corporate communications, and human resources departments; support global business units and the global sales organization in the review and negotiation of commercial agreements, including sales agreements, joint development agreements, inbound and outbound licenses, and confidentiality agreements; oversee legal aspects of the Company’s corporate development and capital formation transactions, including the $549 million acquisition and multi-national integration of DSP Group, Inc. and the establishment of a $600 million term loan facility under the Company’s existing credit agreement; support the work of the General Counsel and Corporate Secretary as the Assistant Secretary, preparing and reviewing board and committee material, attending meetings of the committees of the board, and advising on all other board related matters; oversee the Company’s global data privacy compliance program under various legal regimes, including the California Privacy Act, the GDPR, and privacy laws in the U.K., Israel, Germany, France, Poland, India, China, and Korea; manage U.S. litigation and pre-litigation efforts; and oversee the preparation and timely filing of periodic and current reports, proxy statements, annual reports, Form SD, and Section 16 filings under the Exchange Act.

Advised public companies, pre-IPO stage companies, and SPAC targets in connection with corporate governance and reporting obligations under the Exchange Act, NYSE and NASDAQ rules. Represented public issuers of securities in M&A transactions as well as issuers and underwriters in connection public offerings and private placements of debt, equity, convertible and hybrid securities, continuously offered debt and equity programs, debt and equity self-tenders, exchange offers, and consent solicitations.

Advised the company in connection with its $1.02B initial public offering on the NYSE and secondary offerings of $4.4B in securities by the company's former private equity shareholders; led the company's SEC and NYSE legal compliance program and assisted the Corporate Secretary with the work of the Board of Directors and all corporate governance matters; served as an advisor and partner to the Human Resources, Treasury, Investor Relations, and Finance functions and advised on special projects to analyze and identify solutions to complex business issues.

Represented both issuers and underwriters in global capital markets transactions. Represented clients in mergers, acquisitions, consolidations and restructurings and advised corporate clients on various corporate governance matters.

Assisted clients in the preparation and review of Securities Exchange Act filings, advised clients on compliance with SEC and stock exchange rules and a wide range of corporate governance matters, and represented clients in public offerings of equity and debt securities and M&A transactions.

Office of the Corporate Secretary:Assisted with the management of the company's SEC compliance program and provided support to the Assistant Secretary on all corporate governance matters.Government Relations Department:Monitored and analyzed proposed and passed legislation in 25 states and amendments to federal and state regulations of the banking and insurance industries; drafted alternative or preemptive legislation and comments on proposed legislation; managed relationships with state and Federal regulators to address business issues; and worked with lobbyists to promote the company’s interests.
