25+ years with robust M&A (corporate actions) transactions. Subject matter expert in all types of M&A related deals including but not limited to, escrows, cash mergers, self-tender offers, cash/stock elections, Dutch Auctions, ADR's. This includes contract negotiations as the main point of contact for buy-side and buy-side's counsel. Efficient in all types of transaction document review and the end-to-end execution and operational set up of complex M&A transactions. Interacting with both sell-side and buy-side for clear communication throughout the course of the deal.Strong ability to work on special projects and see through to conclusion which includes presenting upon completion, to Senior Managment. Special Projects includes but not limited to, year-end Tax reconciliation, putting into effect weekly calls to ensure internal and external partners are on target to meet goals as well as communicate any updates/new deliverables for a deal transaction, end of quarters outstanding Invoice clean-up, working with external partners in the industry, such as the Depositary Trust & Clearing Company ("DTCC") on projects to enhance productivity.Proven relationship management abilities with internal and external clients. Exceptional Project Management skills with a focus on generating and implementing timelines/project plans to include tasks, responsible party, deliverable dates, etc. Diligent in managing priorities and meeting clients’ needs. Team player with a focus on a problem-solving attitude both as a group and individually. Ability to "get things done" in a fast paced and high presure indusrty. Knowing the end-goal is to continually exceed both the Company's and clients expectations.
