IFM Investors is a global institutional fund manager, headquartered in Melbourne. The focus of my role was to facilitate IFM Investors’ major transactions in infrastructure equity and infrastructure debt, including assessment of investment opportunities, negotiation of sale documentation, shareholder agreements and finance documents, coordination of legal due diligence, obtaining investment committee approvals, and general project management of key legal work streams. I also carried out general corporate counsel and governance work relevant to IFM Investors, and the IFM Investors funds and products.Significant transactions that I worked on at IFM Investors included:- the successful divestment of Pacific Hydro, a global renewable energy business, to Chinese-owned State Power Investment Corporation (A$3b+);- the acquisition with AustralianSuper of a long term lease for 50.1% of NSW electricity network owner Ausgrid, the largest M&A transaction and debt raising in Australia in 2016, and the first successful unsolicited proposal of its kind in NSW (EV A$20.7b);- IFM Investors’ bid (with MIRA and APG) to the Victorian State Government for a 99 year lease of the Port of Melbourne;- debt investments in the Lane Cove Tunnel, WestConnex and Queensland Schools PPP projects; and- oversight of IFM Investors’ stable of Public Private Partnership (PPP) investments, including (among others) Aleatica and its collection of investments across Spain, Italy and Latin America, Southern Cross Station, Perth Courts, Cth Defence Housing, Eastern Distributor Toll Road and Wyuna Water.In my time at IFM Investors, the legal team was recognised as:- Australian In-House Legal team of the Year at the Australasian Law Awards 2017- Finalist for the Banking and Financial Services Team of the Year at the Australasian Law Awards 2017; and- Finalist for the Infrastructure, Utilities and Energy Team of the Year, and Banking and Finance Team of the Year at the Corporate Counsel Awards 2017.

At Honeywell I acted as Senior Contracts Manager, responsible for the legal function in Honeywell’s Total Asset Management business, which operates and maintains various Public Private Partnership and infrastructure projects in Australia and New Zealand. These include hospitals, correctional facilities, stadiums, court facilities and commercial buildings. My involvement spanned the entire project lifecycle, from consortium structuring and contractual negotiations during bid development, through to project mobilisation and the management of all issues requiring legal input during operations.

At HSF I acted on domestic and international infrastructure transactions in the transport, healthcare, correctional services, telecommunications, water, renewable energy, energy distribution and transmission, and general infrastructure sectors. I gained a broad range of experience in the areas of infrastructure projects and project finance, including advising on equity and debt structuring and risk allocation, drafting and negotiating key project, finance, equity and other agreements, conducting legal due diligence, preparing regulatory documentation and providing general commercial, corporate, regulatory and legislative advice.

Bilfinger Berger Project Investments (BBPI) is the PPP division of one of the world’s largest construction services companies, Bilfinger Berger SE. Whilst on secondment at BBPI I assisted on the submission of bids by BBPI as an equity investor on social infrastructure PPPs in Queensland and Western Australia. I also advised on construction and operational issues on BBPI’s Australian portfolio of projects (which include transport, correctional services and healthcare projects), as well as on general corporate matters.
