Joined in-house to lead a broad range of legal and business functions. Support and advise on corporate compliance, legal risks, interpretation of contracts and business strategies for operations across Singapore, USA and Thailand and other countries. Managed legal issues related to agreements and complex commercial transactions such as corporate restructuring of the company, its affiliates and related entities; client and supplier contracts; IP protection and management and employment matters. Serve as Director on the holding company’s Board of Directors, advise on Board matters, develop corporate governance policies and implement legal controls to help ensure sound corporate governance practices. Formulate and execute business development strategies to expand company reach to new clients and industries. Coach Personality Diversity Awareness Tools and provide training on safety, communication, leadership and teamwork.• Directed start-up company’s reorganisation into a Singapore holding company with a global subsidiary structure. Drafted Wall Street compliant restructuring documents to attract international investors. Professionalised operations and instituted international corporate governance standards. • Served as consultant on Board of Director’s best practices to fellow Directors, Chairman and Vice Chairman. • Drafted cease and desist letters and take-down notices to protect the company’s intellectual property. • Successfully acquired ACTA v5 accreditation and set company on track to be a non-Workforce Skills Qualification (WSQ) accredited training company and later a SkillsFuture Singapore (SSG) Approved Training Organisation (ATO). • Captured new markets with corporate and professional clients and added existing high-risk industrial client base. • Authored a book and developed several coaching materials to expand the company’s coaching tools.

Spearheaded development of the law firm’s international legal practice. Counselled clients with interest in entering and developing new markets for their products and services in foreign countries and the unique requirements of establishing foreign operations and other cross-border business planning issues. Advised regional clients on compliance with US Federal and New York and California State laws. Drafted, reviewed and commented on documents for direct investment into Southeast Asian countries, venture capital and private equity capital raising transactions, cross border IP licensing and structuring governance and inter-shareholder relations. • Functioned as borrower’s counsel in a structured finance transaction with a major Singapore bank, which was advised by a major Singapore law firm. • Provided legal advice on the following:o Investment by an Australian firm into a Southeast Asian oil and gas company.o US Foreign Corrupt Practices Act for a US investor’s Southeast Asia operations. o Representation in a favourably settled IP infringement claim by a Singapore company against a major global financial institution. o Reorganisation of a Singapore company’s capital structure to bring in new investors. • Served as Representative of a foreign biotech firm to set up a Singapore investment company with international shareholders. • Represented a Singapore company to structure investments and operations within the Asia-wide telecoms industry.

Dubai, United Arab Emirates & Singapore

Worked in both the Singapore and Dubai offices and functioned as sole legal counsel in Singapore for all East Asia operations and business development activities. Served as consultant to HQ senior management on the region’s legal, business and market conditions. Provided compliance and legal support on real estate infrastructure projects as well as for the HR, Finance, Commercial and Compliance functions. Facilitated the corporate secretarial function for the region. Reviewed and interpreted contract language, applicable laws and regulations and effectively communicated such to business teams. Worked together with them to evaluate and advise on transactions they were considering for both greenfield and existing projects. • Managed debt recovery litigation, negotiation and drafting of project exit/settlement agreements during the challenging Global Economic Recession. • Supported business development activities with sound legal advice. These included:o Purchase of a stake in an Indonesian real estate projecto Operations of a wholly owned project in Qingdao, Chinao Potential project explorations in Vietnam, Thailand and other countries

Provided legal counsel and support to all major business units in the region for transactions, compliance and operations. Managed and coordinated geographically dispersed lawyers in Singapore, Hong Kong, Shanghai and Sydney. Provided general corporate representation and drafted documents for commercial transactions covering software license and service agreements and customer financing, among others. Created special contract language and tailored agreement provisions to satisfy unique customer service requirements and address special business situations. Facilitated the corporate secretarial function for the region. • Contributed to integration of an acquired Chinese software company. Resolved significant legal and cultural issues. • Supported a large greenfield contract in Kazakhstan, a new, unknown and complex market. Addressed significant legal and US GAAP revenue recognition issues. • Studied country-specific regulations and drafted software license and service agreements, gap analysis agreements and systems integrator consulting agreements in China, Vietnam, Kazakhstan, Pakistan, Singapore, Hong Kong, South Korea and Indonesia.

Managed execution of corporate compliance initiatives and programs including FCPA, IEEPA, US GAAP, Sarbanes-Oxley and various sanctions, boycott and anti-boycott laws at the regional, country and business unit levels. Proactively partnered with businesses to assess risk, identify compliance vulnerability and mitigate risks. Supported and advised business teams on legal risks, interpretation of contracts, IP protection, business strategies and issues related to commercial transactions and operations. Partnered with function leadership and liaised among Sales, Account, Product, Finance and Law departments. Provided legal support for the Channel/Distribution programme as well as the HR, Finance, Procurement, Logistics functions.• Negotiated sales support agreements with clients and vendors in Southeast Asia, Korea and Pakistan, including:o Wireless telecom network supply and installation agreements with civil works components and bid responseso Inter-operability licensing agreementso Network management agreements with service level agreement (SLA) componentso Loan, receivables sale and letter of credit factoring agreementso Settlement agreements and debt-for-equity swaps• Drafted very large value contracts which enabled entry into the Pakistan GSM network market and Vietnam CDMA network market. Set up in-country entities and legal compliance operations. • Supported the HR function during difficult downsizing operations which eliminated thousands of roles in the region over four years.
