Led legal and risk management functions for commercial aviation leasing company, which owned, financed and managed a fleet of more than 350 commercial aircraft valued in excess of $11 billion leased to airlines around the world. Responsibilities included corporate governance, legal support of business transactions, commercial law, regulatory compliance, labor and employment matters, litigation management and outside counsel management.Prepared business for operation as an independent publicly-held corporation, establishing Board of Directors and management governance, establishing corporate policies and procedures and standing up law department operations. Led preparation of SEC filings for spin-off transaction and the negotiation of terms of separation agreements and related third party financing arrangements. Participated in simultaneous auction of business in a “dual track” process, including preparing offering materials and participating in management presentations.

Served as Secretary of CIT Bank, N.A., a $45+ billion OCC-regulated bank with independent Board members and Secretary of several committees of Board of Directors of NYSE-listed bank holding company. Counseled Board of Directors and executive management on regulatory and corporate governance matters. Interfaced with banking regulators. Responsible for worldwide subsidiary management.Led legal support of corporate functions, including treasury, corporate development, tax, risk management, compliance and accounting. Represented company in debt offerings and other capital market transactions. Led strategic corporate initiatives.
